These Terms of Use ("Terms") govern access to and use of the EAA — Entraide Amicale d'Afrique platform, its applications, interfaces, community services, digital tontine mechanisms, EAA Invest services, wallets, technological tools and associated features.

By creating an account, checking the acceptance box, or continuing to use services when renewed acceptance is required, the user acknowledges having read, understood and accepted these Terms.

1. Purpose and scope

EAA provides digital infrastructure designed, among other things, to organize community mutual-aid mechanisms, facilitate certain member operations and provide technological services including EAA Tontine and EAA Invest.

These Terms apply to all users unless specific terms expressly apply to a particular service.

Additional terms may apply to individual services. Where they conflict with these Terms, the service-specific provisions shall govern that service.

2. Electronic acceptance and evidence

Acceptance of these Terms is recorded electronically.

EAA may retain the user's identifier, accepted Terms version, date and time of acceptance, language, acceptance source or flow, a document fingerprint or reference, and other technical information reasonably necessary to evidence acceptance.

Subject to mandatory applicable law, such records may be used as evidence of acceptance.

3. Registration, identity and account security

Users must satisfy the eligibility requirements established by EAA and applicable to the relevant service.

Users must provide accurate, complete and up-to-date information.

EAA may require identity, telephone, email or other reasonable verification for security, compliance or abuse-prevention purposes.

Unless expressly authorized by EAA, each user may maintain only one personal account.

Users are responsible for safeguarding their authentication credentials and promptly reporting unauthorized use known to them.

EAA may restrict access to features while required verification remains incomplete.

PART I — EAA TONTINE

4. Nature of EAA Tontine

EAA Tontine is a digital community mutual-aid mechanism under which grouped members contribute periodically and receive the applicable group distribution in turn.

EAA provides technological tools for group formation, contributions, cycles, distributions, traceability and automation.

Participation does not, by itself, constitute a promise of investment return.

5. Groups and cycles

A group enters a cycle once it reaches 10 economic positions.

A cycle operates over 10 weeks, with each economic position contributing according to the applicable rules and carrying a distribution entitlement according to its position.

Completion of a cycle does not necessarily terminate the group. The group may continue into subsequent cycles.

Placement, replacement, vacancies, level changes and continuity mechanisms are administered through EAA systems.

6. Contributions and distributions

The standard operational schedule provides:

Sunday at 11:55 GMT: contributions.

Sunday at 12:00 GMT: distribution, subject to required funding, consistency and safety controls.

The beneficiary also contributes during the week in which that beneficiary receives the distribution.

Financial operations actually executed and recorded remain historical facts and shall not be silently deleted or rewritten.

7. Insufficient funds, advances and recovery

Where a member has insufficient funds, EAA may use available continuity mechanisms, including reserves, wallets and authorized system advances.

An advance may create a repayment obligation.

EAA may recover amounts owed through subsequent credits, distributions or other available balances, subject to these Terms and mandatory applicable law.

8. Late contributions and management measures

Late contributions may trigger measures established under EAA operational rules.

The applicable schedule may include: under 24 hours: 0%; from 24 hours: +10%; from 48 hours: up to an additional 15% under the applicable rule; from 72 hours: additional measures, potentially including suspension.

The rules displayed by EAA for the relevant service at the applicable time govern.

9. Level changes and replacements

Access to higher levels may be subject to EAA eligibility requirements.

A valid voluntary level change may free the former position for replacement.

Already executed rights remain historical.

Unexecuted distribution rights are handled according to the rules applicable to the relevant economic position.

PART II — EAA INVEST

10. Nature of EAA Invest

EAA Invest is a technological infrastructure through which users may access tracking, acquisition, disposal, valuation or economic-exposure features made available through the platform.

Depending on the relevant product, EAA Invest may rely on external data, internal data, proprietary indices, valuation methodologies, continuity mechanisms, or a combination thereof.

The presence of an asset, index or economic representation within EAA Invest does not itself guarantee returns, liquidity, repurchase, permanent availability or future performance.

Users make their own decisions and bear the economic risks inherent in the transactions they choose to perform.

11. Providers and external data

EAA Invest may depend on third-party data providers, APIs, technical infrastructure, quotation services and other external sources ("Providers").

Provider data may experience delay, outage, interruption, disconnection, synchronization failure, duplication, transmission error, inconsistency, caching errors, abnormal prices, incorrect values or other technical failures.

EAA may deploy monitoring, control and continuity mechanisms intended to reduce these risks but cannot guarantee the absolute absence of external-data or infrastructure failures.

12. Manifest pricing errors and technical anomalies

A price temporarily displayed or used because of a technical anomaly, Provider error, API failure or manifestly inconsistent data does not necessarily create a final economic entitlement for the user.

Technical acceptance or execution of a transaction does not prevent EAA from subsequently determining whether the transaction was affected by an error.

EAA may conduct automated or manual reviews when reasonably necessary.

13. EAA's audit and reconciliation rights

Where a technical or financial anomaly is identified and sufficiently documented, the user expressly agrees that EAA may reconcile affected transactions.

Depending on the circumstances, reconciliation may include a compensating entry, acquisition-cost correction, valuation adjustment, position adjustment, Invest cash adjustment, wallet adjustment, compensating credit or debit, neutralization of an economic benefit directly attributable to the anomaly, restoration of accounting consistency, or another technically necessary reconciliation measure.

To the fullest extent permitted by applicable law, EAA is not required to bear or pay an artificial gain directly created by a manifest pricing error, Provider error, API anomaly or technical malfunction.

EAA may likewise review a demonstrated anomaly that directly and objectively disadvantaged a user and determine the appropriate treatment based on available evidence and applicable rules.

14. Preservation of historical records

Where an affected transaction has already been executed, EAA favors traceable compensating adjustments.

The original transaction may therefore remain in the historical record while a separate reconciliation entry corrects or neutralizes its economic effect.

Technical and financial records may be retained for security, evidence, audit, reconciliation, abuse prevention and dispute resolution.

15. Data authority and reference values

Where data sources conflict, EAA may use its control systems and available technical evidence to determine the appropriate reference for reconciliation.

Evidence may include certified data, Provider information, snapshots, technical history, authorized continuity data, journals, adjacent transactions and other relevant evidence.

EAA is not required to adopt manifestly erroneous data solely because it was temporarily displayed.

16. Temporary suspension and protective measures

Where reasonably necessary to protect the platform, users or transaction integrity, EAA may temporarily suspend or restrict an account, withdrawal, transfer, purchase, sale, instrument or EAA Invest functionality.

Measures may be taken in response to technical anomalies, financial inconsistencies, security reviews, unusual activity, suspected misuse, Provider incidents, investigations or reconciliation requirements.

A protective suspension does not, by itself, constitute a finding of fraud or wrongdoing.

PART III — RISKS

17. Acceptance of EAA Invest risks

Users acknowledge risks including market fluctuations, liquidity, external data, Providers, APIs, networks, information systems, service interruption, valuation, currency, continuity mechanisms and events beyond EAA's reasonable control.

Past performance, historical information, simulations, charts, variations and displayed valuations do not guarantee future performance.

18. No guarantee of price or availability

EAA does not guarantee that a displayed price will remain available for any specified period.

Prices may change before final execution.

EAA may temporarily make an instrument unavailable for transactions when sufficiently reliable data is unavailable or verification is required.

PART IV — WALLETS, TRANSFERS AND WITHDRAWALS

19. Wallets and balances

Balances displayed within EAA may serve different economic functions.

An EAA Invest balance, position, reserve, wallet or other compartment is not necessarily immediately withdrawable where applicable rules require controls, commitments, reserves or restrictions.

20. Withdrawals

Withdrawals may be subject to automated or manual security, compliance and consistency controls.

EAA may delay, temporarily suspend or refuse execution while reasonably necessary verification is pending.

Applicable fees, limits, withdrawal methods and conditions are those configured and presented by EAA for the relevant method.

21. Reconciliation before withdrawal

Where an anomaly potentially affecting a balance is detected before funds leave the EAA ecosystem, EAA may hold the relevant withdrawal while conducting verification and, where justified, complete the applicable reconciliation first.

Subject to mandatory applicable law, users may not demand payment of an amount existing exclusively because of a demonstrated technical anomaly.

PART V — SECURITY, ABUSE AND ACCOUNTS

22. Prohibited use

Users must not knowingly exploit a malfunction to disrupt the service, circumvent security mechanisms, manipulate systems, create fictitious accounts, intentionally provide false information, gain unauthorized access to another person's data or account, improperly automate transactions contrary to service rules, or attempt to conceal prohibited transactions.

The mere occurrence and use of an anomalous price does not, standing alone, establish fraud. EAA may nevertheless investigate the circumstances and implement necessary protective measures.

23. Suspension, restriction and closure

EAA may suspend or restrict an account when reasonably necessary for security, investigation, reconciliation, enforcement of these Terms or protection of the platform and its users.

Where circumstances permit, EAA may provide the user with the general reason for the measure.

Suspension does not erase previous transactions, valid obligations or applicable reconciliation rights.

PART VI — RECORDS AND EVIDENCE

24. Journals and traceability

EAA may maintain technical, financial, administrative and security records concerning platform operations.

Financial corrections and reconciliations may be recorded separately for traceability.

Where a reconciliation affects a member, EAA may retain the relevant transaction, reason, amount, before-and-after state, reconciliation reference, supporting technical evidence and related communications.

25. Electronic communications

EAA may communicate through the application, notifications, email, SMS or other contact channels registered to the user's account.

Users are responsible for maintaining current contact information.

Certain communications concerning security, financial operations, these Terms or account operation may constitute necessary service communications.

PART VII — LIABILITY

26. EAA commitments

EAA implements reasonable technical, organizational and operational measures intended to support the security, integrity and continuity of its services.

EAA may use automated monitoring, anomaly detection, continuity and reconciliation mechanisms.

No computer system or external Provider can be guaranteed to operate without interruption or error.

27. Limitation of liability

To the fullest extent permitted by applicable law, EAA shall not be responsible for consequences directly attributable to third-party Provider failures, external network outages, erroneous external data, circumstances beyond EAA's reasonable control, misuse of an account, compromise of credentials attributable to the user, force majeure, or user decisions based solely on information whose accuracy or permanence EAA has not guaranteed.

Nothing in these Terms excludes liability that cannot lawfully be excluded under mandatory applicable law.

28. No enrichment arising from technical error

A technical error shall not intentionally or artificially create an irrevocable economic obligation without the possibility of verification and reconciliation.

Where an error is objectively demonstrated, EAA may take measures necessary to neutralize its economic effect in accordance with these Terms.

This provision may apply even where the error is discovered after initial technical execution, subject to mandatory rights and applicable limitation periods.

PART VIII — REFERRALS AND BENEFITS

29. Referral programs

EAA may offer referral programs, commissions or other benefits.

Applicable rates, eligibility criteria and conditions are those displayed by EAA for the relevant program.

EAA may modify a referral program prospectively, subject to rights already definitively accrued under applicable rules.

PART IX — COMPLAINTS AND DISPUTES

30. Transaction disputes

A user who believes a transaction or reconciliation is incorrect may contact EAA Support and provide the relevant transaction or reconciliation reference.

EAA may examine journals, available market data, Provider information, account history and other relevant evidence.

Submitting a dispute does not automatically terminate a protective measure that remains reasonably necessary for system security or financial integrity.

31. User cooperation

Users agree to provide information reasonably required to investigate a complaint or incident.

Failure to respond may limit EAA's ability to investigate the matter.

PART X — SERVICE AND TERMS UPDATES

32. Evolution of EAA

EAA may modify its features, interfaces, Providers, technical mechanisms, operational rules and services to improve security, performance, compliance or user experience.

Technical modifications do not necessarily require amendments to these Terms unless they materially alter contractual rights or obligations.

33. Amendments to these Terms

EAA may amend these Terms.

Where a change is material, EAA may notify users and, where appropriate, require renewed electronic acceptance before continued access to specified services.

Each version may be identified by its version number, effective date and, where available, document fingerprint.

PART XI — GENERAL PROVISIONS

34. Severability

If a provision is found invalid, illegal or unenforceable, the remaining provisions shall continue to apply to the fullest extent permitted.

35. No waiver

Failure by EAA to immediately exercise a right under these Terms does not constitute permanent waiver of that right.

36. Entire agreement

These Terms, together with any applicable service-specific terms, constitute the contractual framework governing use of EAA.

38. ACCEPTANCE

By checking the acceptance box, the user confirms:

"I have read and accept EAA's Terms of Use, including the provisions relating to EAA Invest, market-data risks and the reconciliation policy."

The user acknowledges having had the opportunity to review these Terms before acceptance.
